Today’s 8-K confirmed that Strategy did indeed sell BTC, though the amount sold was much smaller than many had anticipated at just ~$2.5M. The company also sold roughly $128M of MSTR common stock, with proceeds from both transactions directed toward replenishing the USD reserve. Despite the relatively small size of the BTC sale, the market reaction was notably weak. BTC traded below $71k intraday and remains under pressure, suggesting that concerns surrounding future BTC sales remain a meaningful overhang.
- STRC Dividend Held Flat, Reserve Rebuilt Modestly: The other notable development from today’s filing was Strategy’s decision to maintain the STRC dividend rate at 11.5%. I had expected a modest increase given how STRC had been trading into the announcement. On balance, holding the dividend flat is likely positive for MSTR common stock, as it reduces the future dividend burden on the equity. Additionally, the replenishment of the USD reserve is incrementally positive for STRC. However, today’s price action suggests the market may still be questioning whether the current reserve level and dividend rate are sufficient to drive another successful capital raise cycle ahead of the next ex-dividend date.
- Price Action Favors MSTR Over BTC: One useful way to interpret today’s developments is through the relative reactions of MSTR, STRC, and BTC. Adjusting for volatility, MSTR traded best, followed by STRC, with BTC lagging meaningfully. This suggests that investors viewed the maintenance of the dividend rate and modest reserve rebuild as incrementally positive for the capital structure, but somewhat negative for BTC. Put differently, the market appears less confident that future STRC issuance will translate into the same magnitude of BTC demand that it has in recent months.
- Tactical Bounce Thesis Put on Hold: On Friday, I argued that fear surrounding the potential Strategy sale, a pending STRC dividend announcement, and a relatively quiet macro calendar created conditions for a tactical bounce in the majors. Following today’s MSTR 8-K and subsequent price action, I think that thesis is postponed for the time being. The market’s reaction to even a relatively small confirmed BTC sale suggests investors remain sensitive to potential future sales and uncertain about the durability of Strategy-related demand.
- Hyperliquid Flywheel Continues to Strengthen: While the majors struggled, Hyperliquid and Hyperliquid Strategies once again stood out. PURR traded nearly $450M of volume today and finished up more than 10%, suggesting continued investor appetite for the DAT structure and increasing odds of additional HYPE purchases. At the same time, HYPE continues to hold near all-time highs despite broader weakness across crypto. The combination of a healthy DAT flywheel, strong ETF traction, and continued growth in derivatives activity makes it difficult to fade the ecosystem at current levels.
- Derivatives Positioning Remains Healthy: Importantly, derivatives data does not suggest that HYPE has entered an unsustainably euphoric phase. While funding rates briefly moved higher, open interest rolled over simultaneously, suggesting much of the activity was driven by short covering rather than aggressive speculative leverage. Given the magnitude of the rally, the absence of excessive leverage remains constructive.
- Bottom Line: The key takeaway from today’s 8-K is that the market reacted poorly to even a relatively small confirmed BTC sale from Strategy. As a result, the tactical bounce thesis discussed on Friday is likely delayed. At the same time, the strongest areas of the market continue to get stronger. Hyperliquid, Hyperliquid Strategies, and the AI/HPC miner complex remain clear relative winners, supported by the AI capex buildout, favorable flows, and increasingly reflexive capital markets dynamics.
